2. Privacy Policy (GDPR)

2.1 Data Controller

The data controller for all personal data processed through this website is ModernProductWorks, registered at 13507 Veitstraße 3, Berlin, Germany. Inquiries regarding data processing can be directed to [email protected].

2.2 Categories of Personal Data

We collect and process the following categories of personal data: full name, business email address, phone number, company/entity name, and project specification details submitted through our contact forms.

2.3 Purpose of Processing

Personal data is processed exclusively for the purposes of: (a) responding to project inquiries and providing technical proposals; (b) delivering contracted software engineering services; (c) maintaining client communication throughout active engagements; and (d) fulfilling statutory tax and accounting obligations.

2.4 Legal Basis

Processing is conducted under Article 6(1)(b) of the GDPR (performance of a contract) and Article 6(1)(f) (legitimate interest in responding to business inquiries). Where consent is required, it is obtained explicitly via our contact form checkbox.

2.5 Data Retention

Contact form submissions are retained for a period of 24 months from the date of submission. Contract-related data is retained for the duration of the engagement plus 6 years in compliance with German commercial record-keeping obligations (§ 257 HGB).

2.6 Data Recipients

Personal data is not sold, rented, or shared with unauthorized third parties. Data may be processed by trusted infrastructure providers (cloud hosting, email services) operating within the European Economic Area under appropriate data processing agreements.

2.7 Data Subject Rights

Under the GDPR, you have the right to: access your personal data (Art. 15), rectification of inaccurate data (Art. 16), erasure of data (Art. 17), restriction of processing (Art. 18), data portability (Art. 20), and objection to processing (Art. 21). 2.8 Right to Lodge a Complaint

3. Terms of Service

3.1 Scope of Services

ModernProductWorks provides software product engineering, observability consulting, and backend architecture services as described in individual Statements of Work (SOW) executed between ModernProductWorks and the Client.

3.2 Project Engagement

All service engagements begin upon mutual execution of a Statement of Work or written agreement specifying scope, deliverables, timelines, and investment. Verbal agreements are not binding without written confirmation.

3.3 Intellectual Property

Upon complete settlement of agreed commercial invoices, ModernProductWorks assigns all worldwide intellectual property rights in client-specific deliverables, including source code, design artifacts, and documentation, directly to the Client.

3.4 Payment Terms

Invoices are payable within 14 days of issuance unless otherwise specified in the SOW. Late payments accrue interest at 9 percentage points above the ECB base rate in accordance with § 288 BGB. ModernProductWorks reserves the right to suspend ongoing work for invoices overdue by more than 21 days.

3.5 Limitation of Liability

ModernProductWorks liability is limited to direct damages caused by gross negligence or willful misconduct. In no event shall total liability exceed the total value of the individual project engagement. Consequential, indirect, and incidental damages are excluded.

3.6 Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, technical specifications, and business strategies disclosed during the engagement. This obligation survives termination for a period of 3 years.

3.7 Governing Law

These terms are governed by the laws of the Federal Republic of Germany. Place of jurisdiction for all disputes is Berlin, Germany.

4. Cookie Policy

4.1 What Are Cookies

Cookies are small text files stored on your device when you visit this website. They enable the site to recognize your device, maintain session state, and remember your preferences.

4.2 Cookies We Use

This website uses strictly necessary functional cookies only. These include a cookie consent persistence token (cookie_accepted) that remembers your cookie consent decision. No analytics, tracking, or advertising cookies are deployed.

4.3 Purpose

The sole purpose of our cookies is to: (a) persist your cookie consent preference across sessions; and (b) maintain basic session functionality. No user behavior profiling or cross-site tracking is performed.

4.4 Managing Cookies

You may disable or delete cookies through your browser settings at any time. Disabling our functional cookies may result in repeated display of the cookie consent banner. No functionality of the website will be impaired by disabling cookies.

4.5 Third-Party Cookies

This website does not deploy third-party cookies. Embedded content (e.g., Google Maps iframe on the contact page) may set cookies according to Google's own privacy policy. We do not control third-party cookie behavior.

5. Refund & Reimbursement Policy

5.1 Pre-Engagement Deposits

Deposits paid to secure project scheduling are non-refundable once the Statement of Work has been executed and work has commenced. Prior to commencement, deposits are refundable within 5 business days of written cancellation.

5.2 Milestone-Based Payments

For milestone-based engagements, completed and approved milestones are non-refundable. Milestones pending delivery or approval at the time of cancellation are eligible for full reimbursement within 14 business days.

5.3 Deliverable Disputes

If a delivered milestone materially fails to meet the specifications defined in the SOW, the Client must notify ModernProductWorks in writing within 10 business days. ModernProductWorks will remediate at no additional cost within 15 business days. If remediation is not feasible, a proportional refund will be issued.

5.4 Retainer Cancellation

Monthly retainer services may be cancelled with 30 days' written notice. The current billing period will be honored in full. No partial-month refunds are issued for retainers.

5.5 Refund Processing

All approved refunds are processed via the original payment method within 14 business days. Refund requests should be submitted to [email protected] with the relevant invoice number and reason.

5.6 Statutory Rights

Nothing in this policy limits your statutory rights under German consumer protection law (§§ 312g, 355 BGB) regarding withdrawal from distance contracts within the 14-day withdrawal period, where applicable.
